DR-I Social Publisher
Terms of Service
Last updated: 3 November 2026
These Terms of Service govern the use of DR-I Social Publisher. Please read them carefully. By accepting an invitation, signing in or using the Service you agree to these Terms on behalf of yourself and of the organisation you represent.
1. Parties and definitions
The Service is provided by DR-I S.r.l., an Italian innovative startup with registered office at Via E. Ruggiero 123, 81100 Caserta (CE), Italy, VAT number IT04678810617, email info@dr-i.tech ("DR-I", "we", "us").
In these Terms:
- "Service" means the DR-I Social Publisher web application available at https://social.dr-i.tech, with its features, updates and documentation.
- "Client" means the company or organisation for which DR-I has set up a workspace in the Service, usually under a separate agreement with DR-I (the "Client Agreement").
- "User" or "you" means any individual invited by DR-I or by a Client to use the Service on behalf of a Client, including DR-I's own staff.
- "Workspace" means the private area of the Service assigned to a Client, with its Users, Connected Accounts and Content.
- "Platform" means a third-party social network that the Service connects to, such as TikTok, Instagram, Facebook, LinkedIn, YouTube and X.
- "Connected Account" means an account, page or channel on a Platform that a User has authorized the Service to access.
- "Content" means any text, image, video, audio, link, schedule, setting or other material that a User uploads to, creates in or publishes through the Service.
2. Purpose of the Service
The Service allows Users to connect the Connected Accounts of their Client, prepare Content, adapt it for each Platform, schedule it on a shared calendar, publish it to the Connected Accounts at the chosen time through the Platforms' official interfaces (APIs), and view the statistics that the Platforms make available. The Service acts only on instructions given by Users and does not publish, follow, like or comment on its own initiative.
3. Access by invitation and accounts
- The Service is intended exclusively for businesses and professionals, not for consumers. There is no public registration: access is granted by invitation from DR-I or from a Client authorized by DR-I.
- You must be at least 18 years old and authorized by the Client to act on its behalf.
- You must provide accurate information, keep your password confidential and not share your credentials. You are responsible for all activity carried out with your credentials. Tell us immediately at info@dr-i.tech if you suspect unauthorized use.
- The Client is responsible for the Users it invites and for removing Users who should no longer have access.
4. Your obligations and acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you must:
- connect only Platform accounts that you own or that you are authorized to manage, and keep that authorization for as long as the account stays connected;
- hold all rights, licences and consents needed for the Content you publish, including rights to music, images, trademarks and the image of people who appear in it;
- disclose commercial content, sponsorships and paid partnerships as required by law and by the rules of each Platform;
- comply with all applicable laws, including laws on advertising, consumer protection, intellectual property, data protection and the protection of minors.
You must not:
- publish Content that is unlawful, defamatory, hateful, violent, sexually explicit, misleading, infringing, or that breaches the rules of the Platform on which it is published;
- use the Service for spam, fake engagement, impersonation, artificial inflation of metrics or coordinated inauthentic behaviour;
- attempt to access Workspaces, accounts or data of others, or to bypass the limits and permissions of the Service or of the Platforms;
- interfere with the operation or security of the Service, introduce malware, or carry out load tests, scraping or reverse engineering, except where the law allows it;
- resell, sublicense or make the Service available to third parties outside the Client's organisation without DR-I's written consent.
5. Content and licence
- You and the Client keep all rights to your Content. DR-I does not claim ownership of it.
- You grant DR-I a non-exclusive, worldwide, royalty-free licence, limited to the duration of the Service, to host, copy, process, adapt in format (for example resizing images or converting files as required by a Platform) and transmit your Content, solely to provide the Service, including publishing it to the Connected Accounts you select.
- DR-I does not review Content before publication and has no obligation to monitor it. DR-I may remove or block Content, or stop a scheduled publication, if it becomes aware that the Content breaches these Terms, the law or a Platform's rules.
- You are solely responsible for the Content you publish and for its consequences on the Platforms.
6. Integrations with the Platforms
- The Service connects to each Platform through its official APIs and authorization flow (OAuth). You authorize each connection on the Platform's own page; DR-I never receives your Platform passwords.
- When you use a Platform through the Service you remain bound by that Platform's terms and policies, which prevail over these Terms for everything that concerns the Platform. In particular:
- TikTok: the TikTok Terms of Service, the TikTok Community Guidelines, and, when relevant, TikTok's Branded Content Policy and Music Usage Confirmation. Videos are published to TikTok through TikTok's Content Posting API: for each video you choose who can see it, whether comments, Duet and Stitch are allowed, and whether it is commercial content, and you confirm the applicable TikTok policies before publishing. The options offered are those that TikTok makes available for your account, and TikTok may apply its own limits (for example on the number of posts per day, on video length or on the visibility of posts).
- Instagram and Facebook: the Meta Terms of Service, the Instagram Terms of Use and Meta's Community Standards.
- LinkedIn: the LinkedIn User Agreement and Professional Community Policies.
- YouTube: the YouTube Terms of Service and Google Privacy Policy.
- X: the X Terms of Service and X Rules.
- The Platforms are independent third parties. They are not parties to these Terms, do not sponsor or endorse the Service, and are not responsible for it. DR-I has no control over their availability, their APIs, their decisions on Content or accounts, or the statistics they provide.
- A Platform may change or withdraw features, permissions or access to its APIs at any time. DR-I will adapt the Service where reasonably possible, but cannot guarantee that a given Platform or feature will remain available.
- You can disconnect a Connected Account at any time from the Service, or revoke access from the Platform itself (for TikTok: Settings and privacy → Security and permissions → Manage app permissions).
7. Availability and changes to the Service
- DR-I makes reasonable efforts to keep the Service available and to publish scheduled Content at the chosen time. The Service may however be temporarily unavailable for maintenance, updates, security reasons or causes beyond DR-I's control, and a publication may be delayed or fail because of a Platform. Any specific service levels are set out only in the Client Agreement.
- DR-I may improve, modify or discontinue features of the Service. If a change materially reduces the features used by a Client, DR-I will inform the Client in advance where reasonably possible.
- You are responsible for keeping copies of your own Content. The Service is not a backup or archiving system.
8. Fees
Fees, invoicing and payment terms, if any, are set out in the Client Agreement or in the offer accepted by the Client. If no fees are agreed, the Service is provided free of charge and DR-I may introduce fees only with prior notice and the Client's acceptance. Users are not charged directly.
9. Intellectual property
The Service, its software, design, texts, logos and trademarks, including the name "DR-I Social Publisher", belong to DR-I or to its licensors and are protected by law. These Terms grant you only a non-exclusive, non-transferable, revocable right to use the Service for the Client's internal business purposes for the duration of your access. No other right is granted. Third-party software components included in the Service are used under their respective licences. The names and trademarks of the Platforms belong to their respective owners and are used only to identify them.
10. Confidentiality
DR-I treats the Content stored in a Workspace that has not yet been published, the Client's account information and the data of its Connected Accounts as confidential. DR-I accesses them only to provide the Service, to provide support at the Client's request, for security reasons or when required by law, and limits such access to staff bound by confidentiality obligations. Users must likewise keep confidential any non-public information about the Service and about other Users that they receive.
11. Data protection
Personal data is processed in accordance with Regulation (EU) 2016/679 (GDPR) and the DR-I Social Publisher Privacy Policy. Depending on the case:
- DR-I acts as data controller for the data of Users needed to manage their accounts, security, support and the relationship with the Client;
- DR-I acts as data processor on behalf of the Client for the personal data contained in the Client's Content and Connected Accounts, under the data processing terms included in, or attached to, the Client Agreement.
The Client is responsible for having a legal basis for the personal data it publishes through the Service, including data of people shown in its Content.
12. Limitation of liability
- The Service is provided "as is" and "as available". To the extent permitted by law, DR-I gives no warranty that the Service will be uninterrupted or error-free, or that Content will reach a particular audience or result.
- DR-I is not liable for: decisions, outages, limits or changes made by the Platforms; the removal of Content or the suspension of accounts by a Platform; Content published by Users; loss of profit, revenue, reputation, followers or business opportunities; indirect or consequential damages.
- Except where the Client Agreement provides otherwise, DR-I's total liability towards a Client and its Users for all claims relating to the Service in any twelve-month period is limited to the fees paid by the Client for the Service in that period or, if the Service is provided free of charge, to EUR 500.
- Nothing in these Terms limits or excludes liability for wilful misconduct or gross negligence, or any other liability that cannot be limited under Italian law (Article 1229 of the Italian Civil Code).
- The Client shall indemnify DR-I against claims by third parties, including Platforms, arising from Content published by its Users or from a breach of these Terms by its Users.
13. Suspension and termination
- DR-I may suspend a User, a Connected Account or a Workspace, with notice where possible, if there is a reasonable suspicion of a breach of these Terms, of the law or of a Platform's rules, if a Platform requests it, or to protect the security of the Service. Access is restored once the cause has been removed.
- The Client may stop using the Service and ask for its Workspace to be closed at any time, subject to the Client Agreement. Users may ask to have their own account closed at any time by writing to info@dr-i.tech.
- DR-I may terminate the Service for a Client in accordance with the Client Agreement or, if there is none, with 30 days' notice; immediately in the event of a serious breach.
- When a Workspace is closed, access tokens to the Connected Accounts are revoked or deleted and the Content is deleted as described in the Privacy Policy. Content already published on the Platforms remains there, under the control of the account owner.
14. Changes to these Terms
DR-I may update these Terms, for example to reflect changes in the Service, in the law or in the Platforms' rules. The date at the top shows the latest version. Material changes will be notified to Clients by email or within the Service at least 15 days before they take effect, unless they are required sooner by law or by a Platform. Continuing to use the Service after that date means accepting the new Terms.
15. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute relating to these Terms or to the Service falls under the exclusive jurisdiction of the Court of Santa Maria Capua Vetere, Italy, unless the Client Agreement provides otherwise. If any provision of these Terms is held invalid, the remaining provisions remain in effect. In case of conflict between these Terms and the Client Agreement, the Client Agreement prevails.
